Terms of service
Version of 6 October 2026
1. The agreement
These terms are an agreement between the business that signs up ("you") and ONE 28 LLC, the company that operates INFIOO ("INFIOO", "we", "us"). You accept them when you create an account. If you accept for a company, you confirm you may bind it.
The agreement consists of these terms, the data processing addendum(the "DPA"), the acceptable use policy and the plan you choose. For personal data, the DPA takes precedence.
2. For businesses only
INFIOO is offered only to businesses — companies, partnerships, sole traders and freelancers acting in their trade, business or profession (in Germany, "Unternehmer" under § 14 BGB) — and not to consumers. By signing up you confirm that you are acting for business purposes and are at least 18 years old.
3. Definitions
- Service: INFIOO — the app, the desktop app, the API, the connector for AI assistants and the related websites.
- Workspace: your business's area in the Service, including your Users.
- Users: the people you invite, with the role you give them.
- Customer Data: everything you or your Users put into or connect to the Service, including personal data about your customers, leads, callers and staff.
- Fioo and AI Features: the AI assistant and the specialist agents shown as "Fioo's team".
- Inputs and Outputs: what goes into the AI Features, and what they produce.
- Actions: things the Service does outside INFIOO on your behalf — sending messages, booking, creating invoices, posting, or syncing to your other tools.
- Connected Services: third-party tools you connect, such as Google, your accounting software or your CRM.
4. Your account and your Users
- Give accurate business details: invoices and other documents are generated from them.
- You are responsible for your Users, the roles you give them and what they do in your Workspace.
- Keep sign-in details and API keys secure, and tell us promptly about any unauthorised use.
5. Plans, fees and payment
- Plans, prices and limits (users, contacts, AI credits and so on) are shown on our pricing page and when you subscribe. Fees are charged in advance, monthly or yearly, through Stripe, and the subscription renews automatically for the same period.
- Prices exclude taxes. If you are a business in the EU outside the seller's country, give us your VAT number; reverse charge then applies where the law allows.
- We may offer the Service or parts of it free of charge, for example during a preview or a trial. We tell you before free use turns into paid use.
- We announce price changes at least 30 days in advance; they apply from your next billing period, and you may cancel before then.
- Costs charged by third parties for your use — for example text, WhatsApp or call charges and carrier registration fees — may be passed on as shown in the Service.
- If a payment fails, we tell you and may suspend the Service if it is still unpaid 14 days later.
6. Cancelling
You can cancel at any time in Settings. Cancellation takes effect at the end of the current billing period, and you keep access until then. Fees already paid are not refunded, except where the law requires it. Switching to another provider is covered in section 19.
7. Your data
Customer Data is yours. You give us the rights we need to host, process and transmit it to provide the Service, as described in the DPA; we use it for nothing else. We may create aggregated, de-identified statistics about how the Service is used, which identify neither you nor any person, and we never use Customer Data to train AI models.
8. Your responsibilities for the data you hold
- You are the controller of your customers' data. You need a lawful basis for it, and you must tell your customers how you use it — including that you use AI assistance, that calls to your INFIOO number are transcribed, and which tools you connect.
- You must have any consent the law requires before marketing to anyone.
- Do not put special categories of personal data (for example health data) into the Service unless you have a lawful basis and it is necessary for your service.
- INFIOO is not designed for protected health information under the US HIPAA rules, and we do not sign business associate agreements. Do not use the Service in a way that would make us your business associate.
9. Fioo and other AI features
What Fioo may do is your choice
Fioo drafts replies, quotes and invoices, books appointments and answers questions about your business. For each part of Fioo's team you choose how much it may do on its own, and those settings are your instructions. If you approve a kind of routine message several times without changing it, Fioo may start sending that kind of message on its own; you can change this or pause Fioo at any time. Actions involving money or public posts wait for your approval unless you deliberately allow a specific one to run by itself. Fioo never moves money: it does not make payments or transfers.
Check the output
Outputs can be wrong or incomplete. The Service holds back drafts it cannot verify against your own records, but you are responsible for what is sent in your name and for the Actions you allow. Outputs are not legal, tax, financial or medical advice.
Telling people they are dealing with AI
Messages Fioo sends without a person's approval, and calls answered by the automated assistant, tell the recipient they are dealing with your AI assistant. Under the EU AI Act we are the provider of these AI features and you are the deployer. Do not remove or hide these notices, and do not present AI output as written by a person where that would mislead. Make sure the people who use Fioo for you understand how it works.
Ownership and training
As between you and us, you own your Inputs and Outputs. Outputs for other customers may be similar to yours. We do not train AI models on Customer Data, and our AI providers are contractually barred from doing so. How Fioo handles data is described in How Fioo uses data.
10. Messages and calls
- You are the sender of every message and call made from your Workspace, and you must follow the laws that apply to them — such as the TCPA, CAN-SPAM, CASL, the EU and UK rules on electronic marketing, Australia's Spam Act and New Zealand's Unsolicited Electronic Messages Act — and the rules of the carriers and of WhatsApp. That includes collecting and keeping proof of consent where it is required, and honouring opt-outs made in any reasonable way.
- The Service honours STOP replies and limits when messages go out. Do not try to get around these protections.
- To send texts in the US, your business must be registered with the carriers. You authorise us to submit your business details to our telephony provider, The Campaign Registry and the carriers for this, and confirm those details are accurate.
- Phone numbers come from our telephony provider and are subject to its rules. INFIOO numbers cannot be used to reach emergency services.
- The automated assistant on your line tells callers it is automated and that their message is transcribed. You are responsible for any further notice your local law requires.
11. Connected Services, including Google
Connected Services are your own accounts with other companies, and their terms apply to them. When you connect one, you authorise us to access it as far as that connection needs, and you confirm you are allowed to. We are not responsible for Connected Services, and a feature may stop working if a provider changes or withdraws its API. Some connections run through Nango, a connection provider. Our use of Google user data follows Google's Limited Use requirements — see the Google API disclosure.
12. AI assistants you connect
If you connect an AI assistant such as Claude or ChatGPT to INFIOO, you choose its permissions. What it retrieves leaves INFIOO and is processed by that assistant's provider under your own agreement with it, which we are not responsible for. You can revoke an assistant's access at any time in Settings.
13. API, webhooks and your own integrations
Keep API keys confidential. You are responsible for where you send data with webhooks, Zapier or the API. We may limit requests and suspend a key that is abused or endangers the Service.
14. Acceptable use
You must follow the acceptable use policy, which also reflects the usage policies of our AI, telephony and messaging providers.
15. Our rights, feedback and publicity
We own the Service. While your subscription runs, you may use it for your business. Do not copy, resell, reverse engineer or scrape it, except as the law permits. We may use feedback you give us without obligation. We will not name you as a customer without your permission.
16. Confidentiality
Each of us keeps the other's non-public information confidential, uses it only for this agreement and protects it with reasonable care. This does not cover information that is public, already known, or received lawfully from someone else, or disclosures the law requires.
17. Security and data protection
We protect Customer Data with the measures described in the DPA and tell you about personal-data breaches as it sets out.
18. Availability and changes to the Service
We work to keep the Service available but do not guarantee uninterrupted operation unless we have agreed a service level with you. We may change features; if a change removes something material you rely on, we tell you in advance, and the export always works. Beta features — for example handing jobs to Fioo from a connected AI assistant — are offered as they are and may change or end.
19. Switching and taking your data with you
- You can export your whole Workspace at any time in Settings → Data & privacy, as JSON, at no charge.
- You can ask to switch to another provider or to your own systems with up to two months' notice. A transition period of up to 30 days then follows; you may extend it once. During it the Service keeps running and we help you move.
- What can be exported is listed in full on the switching and export page. Credentials (access tokens, API keys, signing secrets), the operational records we keep to run the Service safely, and our own internal data (for example our code and AI instructions) are excluded.
- You then have at least 30 days to retrieve your data, after which we delete it as the DPA sets out and confirm the deletion.
- We charge nothing for switching.
Procedures, formats and where our infrastructure is are on the switching and export page.
20. Suspension and ending the agreement
- The agreement runs until you cancel or switch.
- We may suspend all or part of the Service for non-payment (section 5), a serious breach of these terms or the acceptable use policy, a security threat, or where the law requires it. We tell you why and, where we can, give you notice and a chance to fix it first.
- Either of us may end the agreement if the other materially breaches it and does not fix the breach within 30 days of notice.
- When the agreement ends, you can still retrieve your data as set out in section 19 unless the law prevents it; then we delete it under the DPA.
21. Warranties
We provide the paid Service with reasonable skill and care and substantially as described. Free, preview and beta features and Connected Services are provided as they are. We do not warrant that AI Outputs are accurate. Otherwise, to the extent the law allows, we give no implied warranties.
22. Liability
- Neither of us is liable for indirect or consequential loss, or for lost profits, revenue or data that a reasonable backup would have preserved.
- Each party's total liability under this agreement is limited to the fees you paid or owe for the 12 months before the event that caused it.
- These limits do not apply to liability for intent or gross negligence, for injury to life, body or health, for fraud, under product liability law, or for your payment obligations. For slight negligence in breach of an obligation essential to the agreement, liability is limited to the damage typical and foreseeable for this kind of contract.
23. Indemnities
You will defend and indemnify us against third-party claims arising from your Customer Data, messages and calls made from your Workspace without the required consent, or your breach of the law or the acceptable use policy. We will defend and indemnify you against third-party claims that the Service, as we provide it, infringes their intellectual property — not claims caused by your content or by combining the Service with something we did not provide. Both are subject to section 22.
24. Illegal content and how we handle it
- Our point of contact for authorities and for users under the EU Digital Services Act is hello@infioo.com, in English or German.
- Our EU legal representative under the Digital Services Act is being appointed. Until then, contact us at hello@infioo.com.
- Anyone can report content they believe is illegal — for example on a public booking page — through Report illegal content.
- We do not monitor your Workspace, and we do not moderate content automatically. When a report or the law requires it, a person reviews the content. If we restrict it or your account, we tell you why and how to challenge the decision, and you can reply to that message to have it reconsidered.
25. Changes to these terms
We tell you about material changes at least 30 days before they take effect, by email or in the Service, and ask you to accept them. If you do not agree, you can cancel before they take effect. Changes the law requires sooner may take effect sooner.
26. Governing law and disputes
The laws of the State of Delaware, USA govern this agreement, without regard to its conflict-of-laws rules; the UN Convention on Contracts for the International Sale of Goods does not apply. The courts of Delaware have jurisdiction. Mandatory provisions of the law of the country where your business is established are not affected.
27. Transfers and change of ownership
You may not transfer this agreement without our consent, except to a successor of your business, with notice to us. We may transfer it to an affiliate or to a successor of the INFIOO business — for example after a merger, an acquisition, a change of ownership or a sale of assets — with notice to you. The successor takes on our obligations, including those in the DPA.
28. General
- You may not use the Service in breach of sanctions or export-control laws.
- Neither of us is liable for delays caused by events beyond reasonable control.
- If a provision is invalid, the rest stays in force.
- Not enforcing a right is not a waiver of it.
- This agreement is the whole agreement on its subject. The English text controls over any translation.
- Notices to you go to the account owner's email address; notices to us go to hello@infioo.com.
Changes to this document
